    These Terms and Conditions ("Terms") govern access to and use of the Skilder platform, website, products, and services (collectively, the "Services") operated by Skilder, a company based in Buchillon, Switzerland ("Skilder", "we", "us", or "our").

    By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

    1. Purpose of Skilder

    Skilder provides a platform that enables organizations to design, manage, govern, and deploy AI Skills that package instructions, context, and tools for use by AI agents across multiple AI clients, frameworks, and models.

    Skilder does not provide legal, financial, medical, or professional advice. All outputs generated through the Services remain under the responsibility of the user.

    2. Eligibility and Authority

    You may use the Services only if:

    • You are at least 18 years old; and
    • You have the authority to bind yourself or the organization you represent.

    If you are using Skilder on behalf of an organization, you represent and warrant that you have the authority to accept these Terms on its behalf.

    3. Accounts and Access

    3.1 Account Creation

    Access to certain features requires creating an account. You agree to provide accurate, complete, and up-to-date information.

    3.2 Security

    You are responsible for safeguarding your credentials and for all activities performed under your account. Skilder is not liable for unauthorized access resulting from your failure to protect credentials.

    3.3 Access Control

    Organizations are responsible for configuring user roles, permissions, and access policies within their workspace.

    4. Use of the Services

    You agree to use the Services only for lawful purposes and in accordance with these Terms.

    You must not:

    • Use the Services to violate applicable laws or regulations;
    • Infringe intellectual property or proprietary rights;
    • Upload malicious code or attempt to compromise platform security;
    • Use the Services to build or deploy harmful, deceptive, or illegal AI behaviors;
    • Reverse engineer, copy, or resell the Services except as expressly permitted.

    Skilder reserves the right to suspend or terminate access for misuse.

    5. AI Skills and User Content

    5.1 Ownership

    You retain ownership of:

    • Skills you create;
    • Business logic, instructions, configurations, and data you provide.

    Skilder does not claim ownership over your Skills or underlying intellectual property.

    5.2 License to Operate

    You grant Skilder a limited, non-exclusive license to host, process, and execute your Skills solely for the purpose of operating and improving the Services.

    5.3 Responsibility

    You are solely responsible for:

    • The correctness, legality, and outcomes of Skills;
    • Decisions made or actions taken based on AI outputs;
    • Ensuring appropriate human oversight.

    AI outputs may be inaccurate, incomplete, or unexpected. They must not be relied upon without validation.

    6. Model and Tool Integrations

    Skilder is model-agnostic and framework-agnostic. When you connect third-party AI models, APIs, or tools:

    • Their own terms and policies apply;
    • Skilder is not responsible for their availability, performance, or behavior;
    • You are responsible for ensuring compliance with third-party terms.

    7. Governance, Logging, and Audit

    Skilder provides governance features such as version control, audit trails, and access policies. These features support compliance but do not replace your internal governance, risk management, or legal obligations.

    8. Fees and Commercial Terms

    Certain Services may be subject to fees under separate commercial agreements, order forms, or partner programs.

    Unless otherwise agreed:

    • Fees are non-refundable;
    • Taxes are your responsibility;
    • Skilder may update pricing with prior notice.

    9. Confidentiality

    Each party agrees to protect the other party's confidential information and use it solely for purposes related to the Services.

    Confidential information does not include information that is publicly available or independently developed.

    10. Data Protection and Privacy

    Personal data is processed in accordance with Skilder's Privacy Policy, which forms an integral part of these Terms.

    You are responsible for ensuring that any personal data you process through the Services is collected and used lawfully.

    11. Availability and Changes

    Skilder aims to provide reliable availability but does not guarantee uninterrupted or error-free operation.

    We may modify, suspend, or discontinue parts of the Services at any time. Material changes to these Terms will be communicated through the website.

    12. Termination

    You may stop using the Services at any time.

    Skilder may suspend or terminate access immediately if:

    • These Terms are violated;
    • Required by law;
    • Continued use poses security or legal risk.

    Upon termination, access to the Services will cease. You remain responsible for obligations incurred prior to termination.

    13. Disclaimers

    The Services are provided "as is" and "as available".

    To the maximum extent permitted by law, Skilder disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

    14. Limitation of Liability

    To the maximum extent permitted by law:

    • Skilder shall not be liable for indirect, incidental, or consequential damages;
    • Skilder's total liability shall not exceed the amounts paid by you for the Services in the twelve (12) months preceding the claim.

    15. Non-Liability for AI Outputs

    Skilder provides infrastructure for creating, managing, and deploying AI Skills. Skilder does not control, review, or validate the outputs generated by AI models when executing Skills.

    You acknowledge and agree that:

    • AI outputs may be inaccurate, incomplete, biased, or inappropriate;
    • Skilder bears no responsibility for decisions, actions, or consequences arising from AI-generated outputs;
    • You are solely responsible for reviewing, validating, and supervising all AI outputs before relying on them.

    16. Bring Your Own Key (BYOK) Acknowledgment

    When you connect your own API keys, credentials, or accounts for third-party AI models or services ("BYOK"):

    • You are solely responsible for the security, usage, and costs associated with those keys;
    • Skilder does not store, access, or manage your API keys beyond what is strictly necessary to execute your Skills;
    • You assume all liability for compliance with the terms of service of the third-party providers;
    • Skilder is not liable for charges, rate limits, suspensions, or any issues arising from your use of third-party services through BYOK.

    17. Indemnification

    You agree to indemnify and hold harmless Skilder from claims arising out of:

    • Your use of the Services;
    • Skills you create or deploy;
    • Violations of these Terms or applicable laws.

    18. Governing Law and Jurisdiction

    These Terms are governed by the laws of Switzerland, without regard to conflict of law principles.

    The courts of the Canton of Vaud shall have exclusive jurisdiction.

    19. Changes to These Terms

    We may update these Terms from time to time. Continued use of the Services after updates constitutes acceptance of the revised Terms.
